1. Acceptance of Terms

By accessing and using Smooth Money (“the Service”), you accept and agree to be bound by these Terms and Conditions (“Terms”). If you do not agree to these Terms, you must not access or use the Service.

These Terms constitute a legally binding agreement between you and Smooth Money Financial Technologies Pvt Ltd (“Smooth Money”, “we”, “our”, or “us”), a company incorporated under the Companies Act, 2013, with its registered office at 211, Sabarmati, Lokgram, Kalyan East, Dwarli, Kalyan, Thane – 421306, Maharashtra, India.

  1. Description of Service

Smooth Money is a personal finance companion that aims to simplify capital markets for regular investors through AI-powered financial insights and tools. The Service may include features such as goal-based investment planning, expense awareness, financial education content, and, where enabled, mutual fund distribution through our AMFI registration.

Smooth Money is not an investment adviser, portfolio manager, research analyst, or broker. We are registered solely as a Mutual Fund Distributor with the Association of Mutual Funds in India (AMFI). The Service does not provide personalised investment advice, and no content or feature within the Service should be construed as such.

  1. User Responsibilities

As a user of the Service, you are responsible for:

  • providing accurate, complete, and current information during registration and use of the Service;

  • maintaining the confidentiality of your account credentials and not sharing them with any third party;

  • all activity that occurs under your account, whether or not authorised by you;

  • using the Service in compliance with all applicable laws, including but not limited to the Information Technology Act, 2000, SEBI regulations, and AMFI guidelines; and

  • notifying us immediately if you become aware of any unauthorised access to or use of your account.

We are not registered as an Investment Adviser with the Securities and Exchange Board of India (SEBI). In accordance with the SEBI (Investment Advisers) Regulations, 2013, and the AMFI Code of Conduct for Mutual Fund Distributors, we do not provide investment advice, financial planning, portfolio management, or research advisory services.

Any insights, recommendations, suggestions, or educational content provided through the Service are for informational and educational purposes only and do not constitute investment advice.

5. Regular Plan and Commission Disclosure

If and when mutual fund distribution features are enabled in the Service, the schemes offered through our platform will be Regular Plan mutual fund schemes, which involve payment of commission to us as the distributor by the relevant Asset Management Companies (AMCs).

6. Risk Disclosure

Mutual fund investments are subject to market risks. Please read all scheme-related documents carefully before investing. Past performance is not indicative of future returns. There is no guarantee or assurance that the objectives of any mutual fund scheme will be achieved.

7. Third-Party Service Terms

The Service integrates with third-party partners for payment processing, KYC verification, transaction execution, and investor data management. By using features of the Service that involve these partners, you acknowledge and agree that your use of those features is also subject to the terms and conditions and privacy policies of the relevant third-party partners.

By proceeding with KYC verification, payment processing, mandate registration, or mutual fund transactions through the Service, you confirm that you have reviewed and agree to the applicable terms and conditions and privacy policies of the relevant third-party partners listed above.

We are not responsible for the content, accuracy, or practices of any third-party partner. Each partner operates under its own regulatory framework and is independently responsible for its own compliance.

8. MFU Investor Data Consent

If and when mutual fund transaction features are enabled in the Service, Smooth Money (as your mutual fund distributor) will require access to certain investor data maintained by MF Utilities India Pvt Ltd (MFU) in order to service your account, process transactions, and provide you with portfolio-related features.

By using these features, you authorise Smooth Money to access the following datasets associated with your Common Account Number (CAN) on the MFU portal:

How This Consent Works

CD, PD, and MF data will be accessible to Smooth Money through our distributor back-office login on the MFU Online portal.

HD (Holding Data) will be shared by MFU with Smooth Money via a daily email feed (Daily CDS Feed), provided your consent is active.

This consent is solely for the purpose of enabling Smooth Money, as your distributor, to access your investor information on the MFU portal and provide you with portfolio tracking, transaction processing, and related features.

Revocation

You may revoke this consent at any time by contacting us at privacy@smooth.money or through the in-app consent management flow (when available). Upon revocation, Smooth Money’s access to your investor data on MFU will be restricted, and certain features of the Service that depend on this data may no longer be available to you.

9. Privacy and Data Protection

By using the Service, you confirm that you have read, understood, and agree to the terms of our Privacy Policy.

  1. Financial Information Disclaimer

The information, insights, recommendations, summaries, and educational content provided through the Service are for general informational and educational purposes only. They do not constitute:


  • financial, investment, tax, legal, or accounting advice;

  • a recommendation or solicitation to buy, sell, or hold any security or mutual fund scheme;

  • investment advice as defined under the SEBI (Investment Advisers) Regulations, 2013; or

  • a guarantee of any particular investment outcome or return.


Smooth Money may use automated systems, including rules-based logic and machine learning tools, to generate in-app content. These outputs are algorithmically generated and may not account for your complete financial situation, risk tolerance, or investment objectives.

You should independently evaluate any information or suggestion before acting on it and, where appropriate, consult a qualified and SEBI-registered financial professional.

  1. Limitation of Liability

To the fullest extent permitted by applicable law, Smooth Money, its directors, officers, employees, agents, and affiliates shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or in connection with:

  • your use of, or inability to use, the Service;

  • any reliance on information, insights, or recommendations provided through the Service;

  • any actions taken or not taken based on content available through the Service;

  • any interruption, suspension, or termination of the Service;

  • any errors, inaccuracies, or omissions in content or features; or

  • any unauthorised access to or alteration of your data or transmissions.

This limitation of liability applies regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

  1. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted, timely, secure, or error-free access. The Service may be temporarily unavailable due to scheduled maintenance, unscheduled downtime, technical issues, or circumstances beyond our reasonable control.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

  1. Intellectual Property

All content, features, functionality, design elements, trademarks, logos, and proprietary technology within the Service are owned by or licensed to Smooth Money Financial Technologies Pvt Ltd and are protected by applicable intellectual property laws.

You may not copy, reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any content from the Service without our prior written consent, except as expressly permitted by these Terms or applicable law.

  1. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India.


Any dispute, controversy, or claim arising out of or in connection with these Terms, or the breach, termination, or invalidity thereof, shall be subject to the exclusive jurisdiction of the courts located in Thane, Maharashtra, India.


Before initiating any formal proceedings, you agree to first attempt to resolve any dispute informally by contacting us at support@smooth.money. We will endeavour to resolve your concern within 30 days of receipt.

  1. Indemnification

You agree to indemnify, defend, and hold harmless Smooth Money, its directors, officers, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or in connection with:

  • your use of or access to the Service;

  • your violation of these Terms;

  • your violation of any applicable law or regulation; or

  • any content or information you provide through the Service.

16. Termination

We may suspend or terminate your access to the Service at any time, with or without cause or notice, if we reasonably believe that you have violated these Terms or any applicable law.

Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall continue in full force and effect, including but not limited to Sections 8, 9, 11, 12, and 13.

16. Termination

We may suspend or terminate your access to the Service at any time, with or without cause or notice, if we reasonably believe that you have violated these Terms or any applicable law.

Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall continue in full force and effect, including but not limited to Sections 8, 9, 11, 12, and 13.

17. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the “Last Updated” date and, where required, provide additional notice through the app, website, or email.

Your continued use of the Service after any modification constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must discontinue use of the Service.

18. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be limited, modified, or severed to the minimum extent necessary, and all remaining provisions shall continue in full force and effect.

  1. Entire Agreement

These Terms, together with our Privacy Policy and any additional terms applicable to specific features of the Service, constitute the entire agreement between you and Smooth Money with respect to the Service and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written.
